ISBN Services is a website operated by Primedia E-Launch LLC (“ISBN Services,” “we,” “us”). By placing an order or using our services, you (“you,” “the customer”) agree to these Terms.

1. Your files and content

When you upload or send us files — manuscripts, cover art, images, logos, or any other materials (“Your Content”) — you represent and warrant that:

By submitting Your Content, you grant ISBN Services a limited, non-exclusive, royalty-free license to store, reproduce, modify, format, and process Your Content solely as needed to provide the services you purchased — for example, typesetting a manuscript, designing or embedding a cover, converting a file to ebook format, or distributing an ebook to retailers. We claim no ownership of Your Content. This license lasts only as long as needed to deliver your order (and, for Ebook Distribution, to keep your titles live at the stores you selected) and to keep ordinary business records.

2. Acceptable use / content policy

We reserve the right to decline or stop service for any order, including (but not limited to) content that is illegal, pornographic or sexually explicit, contains graphic sexual references or images, or is overly violent. Illegal content will be reported to the appropriate authorities. Ebook Distribution additionally does not carry sexually explicit titles or titles with strongly violent themes, and each retailer applies its own content policies.

6. Guarantees and warranties

Where a product page offers a “satisfaction guarantee,” “guaranteed acceptance” by a retailer, or “unlimited revisions,” that guarantee means we will revise or re-deliver the file at no charge until it meets the stated specification; if we cannot, your remedy is a refund within the applicable window above.

Except for those stated guarantees and any warranty that cannot be disclaimed under applicable law, our services are provided “as is,” and we disclaim other warranties, express or implied. We do not guarantee sales, marketing results, retailer approval beyond the specific acceptance guarantees stated, or uninterrupted third-party (e.g., Bowker, retailer) processing times.

7. Indemnification

You agree to defend, indemnify, and hold harmless ISBN Services, Primedia E-Launch Commerce LLC, and their officers, employees, agents, and contractors (the “Indemnified Parties”) from and against any third-party claims, demands, suits, or proceedings, and any resulting losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) Your Content, including any claim that Your Content infringes or misappropriates a third party’s copyright, trademark, patent, trade secret, or privacy or publicity rights;
(b) your breach of these Terms or of any representation or warranty you make in them (including the file-rights warranties in Section 1);
(c) your violation of any applicable law or of the rights of any third party; or
(d) your use of the services or of any deliverables we provide.

We will give you prompt written notice of any claim subject to indemnification, allow you to control its defense and settlement (provided that any settlement requiring an admission of fault by, payment from, or ongoing obligation on an Indemnified Party requires that party’s prior written consent), and reasonably cooperate with you at your expense. An Indemnified Party may participate in the defense using its own counsel at its own expense.

8. Limitation of liability

To the maximum extent permitted by applicable law:

(a) The Indemnified Parties will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to these Terms or the services — even if we have been advised of the possibility of such damages and even if a stated remedy fails of its essential purpose.

(b) The total aggregate liability of the Indemnified Parties for all claims arising out of or related to these Terms or the services will not exceed the amount you actually paid to ISBN Services for the specific service that gave rise to the claim.

(c) These limitations apply regardless of the legal theory on which a claim is based (contract, tort, negligence, strict liability, or otherwise).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

9. Intellectual property

You retain ownership of your manuscripts, cover art you provide, and the final design/typesetting/cover files we deliver to you for your project. ISBN Services retains ownership of its own templates, tools, processes, and any pre-existing or stock materials, including the underlying methodology of the Custom Marketing Playbook.

10. Governing law and disputes

10.1 Governing Law

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws rules.

10.2 Mandatory Arbitration

Please read this section carefully, as it affects your legal rights. You and ISBN Services agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the services (collectively, “Disputes”), shall be resolved exclusively by binding arbitration on an individual basis, rather than in court.

The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules and, where applicable, the Consumer Arbitration Rules. The arbitration hearings will take place in the State of Kansas, or at another mutually agreed location. The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

10.3 Class Action Waiver

You and ISBN Services agree that any arbitration or proceeding shall be limited to the Dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other; there is no right or authority for any Dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

10.4 Exceptions to Arbitration

Notwithstanding the mandatory arbitration clause above, both parties retain the right to: (a) bring an individual action in small claims court; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

11. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the current version, which applies to orders placed after that date.
